Terms of Service

Please read these terms carefully before using our services.

1. Agreement to Terms

By accessing or using the Thest website (the "Site") and our AI consulting services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or Services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Thest ("Company," "we," "us," or "our").

2. Services Description

Thest provides AI consulting services including, but not limited to:

  • AI strategy development and roadmapping
  • Machine learning engineering and model development
  • Generative AI and large language model integration
  • Data platform architecture and infrastructure
  • AI training and team enablement
  • Proof of concept development and prototyping
  • Fractional AI leadership (CTO/CDO as a Service)

Specific deliverables, timelines, and fees for each engagement are defined in individual Statements of Work ("SOW") or proposals agreed upon by both parties.

3. Engagement Terms

All consulting engagements are governed by individual SOWs which outline scope, deliverables, timelines, and fees. In the event of a conflict between these Terms and an individual SOW, the SOW shall prevail for that specific engagement.

We reserve the right to decline any engagement at our discretion. Engagement commencement is contingent upon mutual agreement on scope and execution of relevant documents.

4. Fees and Payment

Payment terms are specified in each SOW. Unless otherwise stated:

  • Invoices are due within 30 days of issuance
  • Late payments may incur interest at 1.5% per month
  • All fees are in USD unless otherwise specified
  • Travel and out-of-pocket expenses are billed separately at cost

We reserve the right to suspend services for accounts with outstanding balances exceeding 60 days.

5. Intellectual Property

Client IP

You retain all rights to your pre-existing intellectual property, data, and proprietary information shared with us during the engagement.

Deliverables

Unless otherwise specified in the SOW, upon full payment, all custom deliverables created specifically for your engagement are assigned to you. We retain the right to use general knowledge, skills, techniques, and methodologies developed or refined during the engagement.

Our IP

We retain all rights to our pre-existing tools, frameworks, templates, and methodologies. Any such materials included in deliverables are licensed to you on a non-exclusive, perpetual basis for your internal use.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. Confidential information includes business plans, technical data, client lists, financial information, and any information marked as confidential.

Confidentiality obligations survive the termination of the engagement for a period of three (3) years, except for trade secrets which are protected indefinitely.

7. Data Protection

We handle all client data in accordance with our Privacy Policy and applicable data protection regulations. We implement industry-standard security measures to protect client data during and after engagements.

Clients are responsible for ensuring they have the right to share any data provided to us and that such sharing complies with applicable laws and regulations.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

  • AI and machine learning outcomes are inherently uncertain and we do not guarantee specific results or performance metrics
  • The Site and its content are provided "as is" without warranties of any kind
  • We do not warrant that AI models or solutions will be free from errors or biases
  • Information on the Site is for general purposes and does not constitute professional advice

9. Limitation of Liability

To the maximum extent permitted by law, Thest's total liability for any claims arising from or related to these Terms or our Services shall not exceed the fees paid by you for the specific engagement giving rise to the claim during the twelve (12) months preceding the claim.

In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

10. Termination

Either party may terminate an engagement with 30 days' written notice. Upon termination:

  • Client is responsible for payment for all services rendered through the termination date
  • We will deliver all completed and in-progress work product
  • Confidentiality obligations survive termination
  • Each party will return or destroy the other party's confidential information upon request

11. Use of Website

When using our Site, you agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Site
  • Reproduce, distribute, or create derivative works of Site content without permission
  • Use automated tools to scrape or collect data from the Site
  • Interfere with the proper functioning of the Site

12. Indemnification

You agree to indemnify and hold harmless Thest and its employees, contractors, and affiliates from any claims, damages, or expenses arising from your use of the Services in violation of these Terms, applicable laws, or third-party rights.

13. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms shall be resolved through good-faith negotiation, followed by binding arbitration if necessary.

14. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of the Site or Services after changes constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you via email or through the Site.
